This service, Gift &., is operated by COMPASS Learning Corporation (hereinafter referred to as 'the Company').
These Terms of Service ("Terms") govern your use of our e-commerce platform for the purchase of Japanese-made beauty devices, household products, and accessories. By accessing or using our services, you agree to be bound by these Terms in accordance with Philippine laws, including the Philippine Consumer Act (Republic Act No. 7394), the Electronic Commerce Act (Republic Act No. 8792), and the Data Privacy Act (Republic Act No. 10173) (hereinafter referred to as the Philippine Republic Act No. 10173).
Acceptance of Terms
By accessing, browsing, or using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws. If you do not agree with these Terms, you must not use our services.
Legal Capacity
You must be at least 18 years old and legally capable of entering into a contract under Philippine law to use our services.
Modifications
We reserve the right to modify these Terms at any time. Changes take effect immediately upon posting on our website with the updated effective date. Continued use of the services constitutes acceptance of the revised Terms.

Our platform provides:
- Japanese-made beauty devices, personal care equipment, and related accessories
- Household and lifestyle products imported from Japan, such as kitchenware, cleaning tools, and daily necessities
- Small consumer goods including electronic accessories, wellness products, and other similar items (collectively, the "Products")
- Online ordering and payment processing
- Customer support and after-sales service
Account Registration
Creating an Account To make a purchase, you may need to create an account by providing:
- Accurate personal information (name, email, phone number)
- Valid billing and shipping addresses
- A secure password for account access
Account Security You are responsible for:

- Promptly notifying us of any unauthorized access

Orders and Contracts
Placing Orders When placing an order, you make an offer to purchase products at the stated price. We reserve the right to accept or reject any order. A contract is formed upon our confirmation of your order. You will receive email confirmation with order details.
Order Accuracy You are responsible for verifying the accuracy of your order, including product selection, quantities, and delivery information. Please review your order carefully before confirmation.
Order Cancellation Orders may be canceled within 24 hours of placement, depending on processing status. After shipment, our Return Policy applies.

- Shipping fees are calculated separately and displayed at checkout

Payment Methods We accept payments via:

- PayMongo: Philippine local payment solution including cards and e-wallets

Payment Processing Full payment must be received before order processing. Failed payments may result in order cancellation. Payment processing is subject to the terms of our payment providers.
Products and Delivery

Delivery
- Delivery times are estimates and may vary based on location and circumstances
- Risk of loss transfers to you upon delivery
- Accurate delivery information must be provided
- Additional charges may apply for remote locations
Title to products and risk of loss pass to you upon delivery to the address you provided. Please inspect on delivery and notify us of damage, loss, or shortage within 24 hours so we can coordinate with the carrier.
Import Regulations
Products are imported from Japan and comply with Philippine import regulations and safety standards. You are responsible for any additional local requirements.
Service Interruptions
In case of a prolonged service outage affecting order processing, we will notify affected customers and provide options such as delayed fulfillment, substitution (with consent), or cancellation with refund.
Returns, Refunds
Consumer Rights Protection Under the Consumer Act of the Philippines (RA 7394), consumers have the legal right to repair, replacement, or refund for defective goods. These rights cannot be waived or limited by store policy.
We accept returns, exchanges, or refunds in the following cases:
- The product is defective, damaged, or malfunctioning
- The product differs from the description
- A shipping error occurred (in which case we will cover return shipping costs)
- The product fails to meet the implied warranties of merchantability or fitness for purpose
Non-Defective Items Returns for change of mind or personal reasons are not accepted. However, your legal rights under RA 7394 concerning product quality remain fully protected.
Procedure Within 7 days of delivery, contact us at info@giftand.compass.style with your order number and reason for return. We will guide you through the return process while ensuring compliance with consumer protection law.
Refund Method In compliance with DTI Administrative Order 09-14, we will typically issue refunds to the original payment method within 5 business days after inspection of the returned item is completed.
Warranty
Statutory Warranty Application In accordance with RA 7394 Sections 97–100, all non-food consumer goods sold by our store carry a minimum 60-day statutory warranty.
Extended Warranty (Store Policy)
Consumer Protection Compliance As an importer/retailer of overseas products, we assume full manufacturer's warranty responsibility to ensure that Philippine consumers enjoy protections equivalent to domestic products, consistent with RA 7394 Section 4(as).
Initial Defects Under consumer law, for defects reported within 7 days of delivery, we will provide free replacement, repair, or refund.
Functional Defects under Normal Use For defects arising under normal usage within 6 months of delivery, we will likewise provide free repair, replacement, or refund.
Consumer Choice Priority Per DTI guidelines, consumers may choose repair, replacement, or refund. We will prioritize replacement or refund. If repair is feasible and you prefer it, we will arrange it free of charge (within approximately 30 days, subject to parts availability).
Warranty Exclusions The following are excluded to the extent consistent with the Consumer Act's reasonable limitations:
- Misuse, accidental drops, or physical damage
- Water or moisture damage due to improper use
- Unauthorized disassembly or modification
- Electrical incompatibility due to customer's equipment
- Normal wear and tear of consumables or accessories
Important Notice on Consumer Rights
- This warranty cannot be overridden by a "no returns / no exchanges" sign or policy.
- If you believe your consumer rights have been infringed, you may file a complaint with the Department of Trade and Industry (DTI).
- Warranty-related disputes may be pursued under small claims procedures under Philippine law.
- These legal rights apply regardless of whether you have the receipt — alternative proofs of purchase may also be accepted.
DTI Compliance This policy is designed to comply with mandated fair trade practices and consumer protections under DTI Administrative Orders 2-03 and 09-14.
Intellectual Property
Our Rights All content on our platform is protected under intellectual property laws, including:
- Website design, layout, and functionality
- Product images, descriptions, and marketing materials
- Trademarks, logos, and brand names
- Software, code, and technical systems
Limited License You are granted a limited, non-exclusive license to access and use the platform for personal, non-commercial purposes, subject to these Terms.

Limitation of Liability
- Product Liability: Our liability is limited to the purchase price of the product. We are not liable for indirect, consequential, or punitive damages except as required under Philippine Consumer Protection laws.
- Maximum Liability: Our total liability for any claim shall not exceed the amount paid by you for the specific product or service that is the subject of the claim.
- Consumer Rights: Nothing in these Terms limits your statutory rights under the Philippine Consumer Act, including rights to refunds, repairs, or replacements for defective products.
Force Majeure
We are not responsible for failure or delay in performance due to:
- Natural disasters, typhoons, earthquakes, or other acts of God
- War, terrorism, or civil unrest
- Government actions, laws, or regulations
- Labor disputes or strikes
- Internet or communication failures
- Pandemics or epidemics
- Other circumstances beyond our reasonable control
During such events, we will make reasonable efforts to minimize disruption and promptly notify affected users.
Indemnification
You agree to indemnify, defend, and hold harmless our company, officers, directors, employees, agents, and affiliates from any claims, damages, losses, costs, or expenses (including reasonable attorney fees) arising from:

- Infringement of third-party rights
- Content submitted to the platform

- Civil Code and other applicable Philippine laws
Jurisdiction Disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in the Philippines.
Dispute Resolution Before pursuing formal legal action, we recommend:

- Good-faith efforts to resolve disputes amicably
- Mediation through appropriate consumer protection agencies (e.g., DTI)
This does not limit your rights under Philippine law.

Miscellaneous

Language In the event of any conflict between the English and Japanese versions of these Terms, the English version prevails for legal purposes.
Waiver Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms freely.
Additional Notices
- Our beauty devices are consumer products and are not medical devices. They are not intended to diagnose, treat, cure, or prevent any disease. Follow the user manual and safety instructions. Discontinue use if irritation occurs and consult a professional.
- Prices are shown in PHP and are VAT-inclusive. Shipping and handling are shown at checkout. We issue official receipts/e-invoices in accordance with BIR requirements.
